These Terms of Service ("Terms") govern your access to and use of the services provided by Karasawa Labs ("Company", "we", "us", or "our"), including the Karaslice Pro web application, manufacturing services, and related websites (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Account Registration

To access certain features of the Services, you must create an account by authenticating through a supported provider (e.g., Google, Apple). You agree to:

Provide accurate and complete information during registration.
Maintain the security of your account credentials.
Promptly notify us of any unauthorized access to your account.
Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or abusive purposes.

2. Karaslice Pro Subscription

2.1 Free Trial

New users receive a 7-day free trial of Karaslice Pro. During the trial period, you have full access to all features. You will not be charged during the trial. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan.

2.2 Subscription Fees

After your trial ends, Karaslice Pro is billed at $19.99 per month. Fees are charged at the beginning of each billing cycle. All fees are in U.S. dollars and are non-refundable except as described in Section 2.4.

2.3 Cancellation

You may cancel your subscription at any time through the Stripe customer portal accessible from your account. Upon cancellation:

Your access continues until the end of the current billing period.
No further charges will be made after cancellation.
You may re-subscribe at any time at the then-current rate.

2.4 Refunds

We offer refunds on a case-by-case basis within 14 days of a charge if the Services were materially unavailable or defective during that billing period. Contact build@karasawalabs.com to request a refund.

3. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose or in violation of any applicable laws.
Attempt to reverse engineer, decompile, or disassemble the software.
Resell, sublicense, or redistribute access to the Services without our written consent.
Upload files containing malware, viruses, or malicious code.
Attempt to bypass subscription controls, access restrictions, or rate limits.
Use automated tools to scrape, crawl, or extract data from the Services.
Interfere with the operation of the Services or other users' access.

4. Intellectual Property

4.1 Our Property

The Services, including all software, algorithms, UI designs, documentation, and branding, are the exclusive property of Karasawa Labs and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

4.2 Your Content

You retain all ownership rights to the 3D models, meshes, and files you upload to the Services ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to process, analyze, repair, and store Your Content solely for the purpose of providing the Services to you. We do not claim ownership of Your Content and will not share it with third parties without your consent, except as required by law.

4.3 Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant us an unrestricted, perpetual license to use and incorporate that feedback without obligation to you.

5. Manufacturing Services

For 3D printing and manufacturing orders placed through the Services:

Quotes are generated by AI and are estimates. Final pricing is confirmed at checkout.
Lead times are estimates and may vary based on complexity, material availability, and order volume.
Quality — we manufacture to reasonable commercial standards. Minor cosmetic variations inherent to 3D printing (e.g., layer lines, support marks) are not considered defects.
Shipping — risk of loss passes to you upon delivery to the carrier. We are not liable for delays or damage caused by shipping carriers.

5.1 Custom Automotive Quotes & Deposits

For custom automotive and large-format 3D printing orders placed through our quote system:

Deposits — A deposit (as specified in your quote, typically 30%) is required before production begins. Deposits are non-refundable once printing starts — no exceptions.
Balance Due on Delivery — The remaining balance is due upon delivery of the finished product. Payment must be received before the product is released.
No Refunds for Customer Damage — Refunds will not be issued for any products broken, damaged, or destroyed by the customer after delivery.
Quality Inspection — A quality inspection will be conducted via video call before shipment. Customer information will be embossed into the product to ensure what the customer sees during inspection is what they receive.
Custom Work — All automotive quotes are for custom-manufactured parts. Once production begins, the order cannot be cancelled and the deposit is forfeited.
Quote Validity — Quotes are valid for 30 days from the date of issue unless otherwise stated.

6. Data & Privacy

Your use of the Services is also governed by our Privacy Policy. We process personal data as described therein. Key points:

We collect account information (name, email, phone) and payment details through Stripe.
Uploaded 3D files are processed for analysis and repair and may be temporarily stored on our cloud infrastructure.
We do not sell your personal data to third parties.
We use industry-standard security measures to protect your data.

7. Service Availability & Modifications

We strive for high availability but do not guarantee uninterrupted access. We may:

Modify, update, or discontinue features of the Services at any time.
Perform scheduled or emergency maintenance that may temporarily affect availability.
Modify these Terms with notice to active subscribers via email or in-app notification.

Continued use of the Services after changes to these Terms constitutes acceptance of the modified Terms.

8. Limitation of Liability

To the maximum extent permitted by law:

The Services are provided "as is" and "as available" without warranties of any kind, express or implied.
We do not warrant that mesh repair results will be error-free, suitable for any particular purpose, or achieve any specific outcome.
Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in the 12 months preceding the claim.
We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.

9. Indemnification

You agree to indemnify and hold harmless Karasawa Labs, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Travis County, Texas.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice. Upon termination:

Your right to access the Services ceases immediately.
We may delete your account data after a reasonable retention period.
Sections 4, 8, 9, and 10 survive termination.
